Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and IncitingIncident ("we", "us", the "Service"). By creating an account, starting a trial, or otherwise using the Service — on the web or through our desktop application — you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

IncitingIncident is a creative production platform for screenwriters and filmmakers, including script writing and formatting tools, character and story development, AI-assisted previsualization and storyboarding, media management, video editing, and related features. Features vary by subscription plan and may change as the Service evolves.

3. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. Notify us promptly if you believe your account has been compromised.

4. Subscriptions, Trials, and Billing

The Service offers paid subscription plans (currently Writer and Studio) billed monthly or annually. New accounts receive a limited-time free trial with full Studio access; no payment method is required to start a trial. When a trial ends without a paid subscription, access to plan-gated features is suspended, but your projects remain stored and become available again if you subscribe.

Paid subscriptions renew automatically at the end of each billing cycle until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain plan access until then. Except where required by law, fees are non-refundable. We may change prices with reasonable advance notice; changes apply from your next renewal.

5. AI Credits

AI image and video generation is metered by AI credits, which are purchased separately from subscriptions. Credits are deducted when a generation is performed; credits reserved for a failed generation are returned to your balance. Credits do not expire, have no cash value, are non-transferable, and are non-refundable except where required by law. No subscription plan includes unlimited AI generation.

6. Your Content

You retain all ownership rights in the scripts, characters, projects, media, and other material you create or upload to the Service ("Your Content"). We claim no ownership over Your Content. You grant us a limited license to host, store, process, and display Your Content solely as needed to operate and provide the Service to you.

You are responsible for Your Content, including ensuring you have the rights to any material you upload and that it does not infringe the rights of others.

7. AI-Generated Output

The Service can produce AI-generated text, images, and video ("Output"). To the extent we hold any rights in Output generated from your prompts and projects, we assign them to you. You are responsible for reviewing Output before use: AI systems can produce inaccurate, biased, or unintentionally similar material, and the intellectual-property status of AI-generated works varies by jurisdiction and may limit your ability to claim exclusive rights. Output generated through third-party AI providers is also subject to those providers' terms.

8. Bring-Your-Own API Keys

The Service lets you connect your own API keys for third-party AI providers. Keys you connect are used only to make requests on your behalf. Your use of those providers is governed by their terms and pricing, and you are responsible for charges they bill you directly. We are not responsible for the availability, quality, or policies of third-party providers.

9. Acceptable Use

You agree not to use the Service to:

  • violate any law or the rights of others, including intellectual-property rights;
  • generate or distribute content that is unlawful, or that depicts minors in a sexual manner;
  • harass, defame, or impersonate any person, including via AI-generated likenesses without consent;
  • probe, disrupt, or circumvent the Service's security, rate limits, or plan and credit gating;
  • resell, sublicense, or provide the Service to third parties as a service bureau; or
  • reverse engineer the Service except where permitted by law.

We may suspend or terminate accounts that violate this section.

10. Our Intellectual Property

The Service — including its software, design, branding, and all content we provide other than Your Content and Output — is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms and your plan.

11. Third-Party Services

The Service integrates with third-party services (including AI model providers and payment processors). We are not responsible for third-party services, and your use of them is subject to their own terms and privacy policies.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE. KEEP INDEPENDENT BACKUPS OF WORK THAT MATTERS TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) FIFTY US DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

14. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access for breach of these Terms, for non-payment, or if required by law. Upon termination, your license to use the Service ends; sections that by their nature should survive (including 6, 7, 12, 13, and 16) survive termination.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice (for example, by email or in-app) before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules, and disputes will be resolved in the courts located in [VENUE].
